Legal / Terms and Conditions

Terms and Conditions

These terms govern access to and use of the Payrolloc website, application, API and related services. By using the Services, you agree to them on behalf of yourself and the organization you represent.

Payrolloc is software for managing crypto-to-crypto payments. It does not convert, exchange or transmit fiat currency, and it does not provide bank accounts, cards, investment, tax or legal advice.

01

Acceptance

By creating a workspace, accessing the application or API, or otherwise using the Services, you agree to these Terms. If you use the Services on behalf of an organization, you confirm that you are authorized to bind that organization, and "you" refers to it. If a separate written agreement covers your use, that agreement prevails where it conflicts with these Terms.

02

The Services

Payrolloc provides tools to automate, approve, execute, track and reconcile recurring cryptocurrency payments, including crypto payroll, bulk and recurring payments, payment automation, treasury visibility, beneficiary management, approval policies, and API access.

Supported assets and networks are those enabled for your workspace and may change over time. We may add, modify or discontinue features, and will give reasonable notice of material changes where practical.

03

Crypto-to-crypto only

The Services support payments in digital assets only. Payrolloc does not accept, hold, convert or send fiat currency, and does not offer bank transfers, IBANs or card payments. You are responsible for funding your wallets with supported digital assets.

04

Eligibility and accounts

The Services are intended for businesses and organizations. You must provide accurate information, keep credentials confidential, enable the security features we make available, and promptly notify us of any unauthorized access. You are responsible for all activity under your workspace, including actions taken by your users and API keys.

05

Custody models

You may use the Services with self-custodied wallets, managed custody, or both, as available for your workspace.

Self-custody you and your signers retain control of private keys. Payrolloc cannot move funds from these wallets without your authorization, and is not responsible for loss of keys or signer access.

Managed custody Payrolloc operates wallet infrastructure on your behalf. Funds move only in accordance with the policies and approvals configured in your workspace. Additional terms may apply.

06

Your responsibilities

You are responsible for:

The accuracy of beneficiary details, wallet addresses, networks, assets and amounts.

Configuring approval policies, permissions, limits and allowlists appropriate to your organization.

Reviewing payments before approval and execution.

Your obligations to employees, contractors and other beneficiaries, including employment, tax, reporting and regulatory requirements.

Having the rights and consents needed to provide beneficiary data to Payrolloc.

07

Blockchain transactions

Transactions on public blockchains are generally irreversible once confirmed. Payrolloc cannot reverse, cancel or recover a confirmed transaction, including one sent to an incorrect address. Network fees, congestion, forks, protocol changes and other events outside our control may affect timing, cost or completion of transactions.

08

Acceptable use

You agree not to use the Services to:

Violate any applicable law, including sanctions, anti-money-laundering and counter-terrorist-financing laws.

Send payments to persons or addresses you know or suspect are prohibited.

Interfere with, probe or disrupt the Services, or bypass security or policy controls.

Reverse engineer the Services, except where permitted by law.

Resell or provide the Services to third parties without our written consent.

09

API use

Access to the API is subject to these Terms and any API documentation we provide. Keep API keys secure and rotate them if compromised. We may apply rate limits and may suspend keys that pose a security risk.

10

Fees

Fees for the Services are set out in your order form or plan. Unless stated otherwise, fees are exclusive of taxes and network fees. Network (gas) fees for on-chain transactions are your responsibility.

11

Data and privacy

You retain ownership of the data you submit. You grant Payrolloc the rights needed to provide and improve the Services. Our handling of personal data is described in our Privacy Policy.

12

Intellectual property

Payrolloc and its licensors own all rights in the Services, including software, design and documentation. These Terms grant you a limited, non-exclusive, non-transferable right to use the Services during your subscription. Feedback you provide may be used by us without obligation.

13

Suspension and termination

You may stop using the Services at any time, subject to your order form. We may suspend or terminate access if you materially breach these Terms, if required by law, or to prevent harm to the Services or others. On termination, you may export your workspace data for a reasonable period, after which we may delete it as described in our Privacy Policy. Funds in self-custodied wallets remain under your control.

14

Disclaimers

The Services are provided "as is" and "as available". To the extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. Payrolloc does not provide investment, tax, accounting or legal advice, and does not guarantee the value, liquidity or availability of any digital asset or network.

15

Limitation of liability

To the extent permitted by law, Payrolloc will not be liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, data or digital assets resulting from your instructions, incorrect payment details, blockchain events, or compromise of credentials or keys under your control. Our total liability arising from the Services is limited to the fees you paid in the twelve months before the claim.

16

Indemnity

You will indemnify Payrolloc against third-party claims arising from your use of the Services in breach of these Terms or applicable law, or from payment instructions issued from your workspace.

17

Changes to these Terms

We may update these Terms from time to time. We will notify you of material changes through the Services or by email. Continued use after changes take effect means you accept the updated Terms.

18

Governing law

These Terms are governed by the laws specified in your order form. If none is specified, the governing law and venue will be those of the jurisdiction in which the contracting Payrolloc entity is established.
